1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of Oceanic Studio (“Company”, “We”, “Us”, “Our”) and our website https://oceanicstudio.net, along with all services related to IT development, web development, branding, design, digital marketing, and consulting (“Services”).

By accessing the Website or availing our Services, you agree to be bound by these Terms. If you do not agree, you must refrain from using the Website and Services.

2. Definitions

• Client: The individual or business entity purchasing our services.
• Deliverables: All final outputs, including designs, code, documents, marketing assets, etc.
• Third-Party Tools: Plugins, APIs, themes, hosting services, and external software not owned by Oceanic Studio.

3. Scope of Services

Oceanic Studio provides the following services:

• Custom Website Design & Development
• CMS Development (WordPress, Shopify, Custom)
• E-commerce Solutions
• UI/UX, Wireframing & Prototyping
• App Development
• Branding & Graphic Designing
• SEO, Google Ads, Meta Ads, LinkedIn Ads
• Social Media Management & Content Creation
• Digital Marketing Strategy
• Email Marketing & Funnels
• Content Writing
• Hosting Support & Maintenance

Each project will include a detailed proposal outlining:

• Scope of work
• Deliverables
• Timelines
• Responsibilities
• Payment structure

Any service not explicitly mentioned in the proposal is considered out-of-scope.

4. Payment Terms

4.1 Billing Structure

• Projects begin only after receiving the agreed advance payment (typically 40–50%, unless otherwise stated).
• Remaining payments must follow the milestone schedule or final delivery terms.

4.2 Payment Policies

• All payments are non-refundable, except in exceptional cases where mutually agreed.
• Late payments may result in work pause, delayed timelines, or account suspension.
• Charges for third-party services (domains, hosting, ads, plugins, themes, licenses) are not included unless explicitly mentioned.

4.3 Taxes

All invoices are subject to applicable taxes (GST as per Indian law).

5. Project Timelines

• Timelines shared are estimated and depend on Client cooperation.
• Delays in providing content, approvals, or access will extend timelines without liability on Oceanic Studio.
• Urgent tasks or requests may incur additional charges.

6. Client Responsibilities

Clients must:

• Provide accurate and updated information and brand assets
• Submit content, images, videos, and instructions on time
• Provide necessary login access (hosting, domain, business manager, analytics, etc.)
• Approve drafts, wireframes, and deliverables promptly
• Ensure no copyrighted or illegal content is shared

The Company is not responsible for delays due to incomplete client input.

7. Revisions & Change Requests

• Each project includes a set number of revisions as stated in the proposal.
• Additional revisions or changes requested after approval are chargeable.
• Any change affecting design, functionality, strategy, or structure will be considered a scope change and billed separately.

8. Intellectual Property Rights

8.1 Client Ownership

Upon full payment:

• All final approved deliverables become the client’s property.
• Raw files (Photoshop, Figma, XD, layered files, uncompressed code) may incur additional charges if requested.

8.2 Company Rights

Oceanic Studio retains:

• Ownership of unapproved drafts
• Rights to showcase completed work in portfolios, presentations, marketing materials, or case studies

8.3 Third-Party Rights

Plugins, themes, fonts, stock assets remain subject to their respective licenses.

9. Confidentiality

Both parties agree not to disclose any confidential information including:

• Business strategies
• Credentials, login details
• Product ideas
• Marketing data
• Client databases

Confidentiality obligations survive even after termination of the project.

10. Warranties & Limitations

10.1 No Guarantee of Outcomes

We do not guarantee:

• Search engine rankings
• Sales, leads, conversions
• Digital marketing outcomes
• Revenue or financial results

10.2 Technical Limitations

We are not responsible for:

• Hosting/server issues
• Downtime caused by third-party providers
• Malware attacks or hacking done from external sources
• Issues arising due to client-side edits without consulting us
• Loss of data caused by third-party actions

10.3 Maximum Liability

Our liability shall not exceed the amount paid for the specific project.

11. Termination

We reserve the right to terminate Services if:

• Payments are not made on time
• All completed work must be paid for
• Advance payments will not be refunded

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Disputes shall be subject to the exclusive jurisdiction of courts in [State/City].
